Financial Assessment Engagement Agreement
This agreement is between Ash Ryben Consulting Inc., a Florida corporation ("ARC"), and ("Client"), individually and on behalf of the business entities Client identifies in the intake (together, "Client"). Effective date: .
1. Services
ARC will prepare a Financial Assessment consisting of: (a) a personal financial statement; (b) a consolidated schedule of Client's personal and business debts; (c) analysis of each business entity and real property Client reports; (d) identification of the primary financial roadblock, with supporting figures; (e) one to three recommended strategies with estimated monthly impact and implementation playbooks; and (f) a proposal call of up to 90 minutes to review the above. Deliverables are provided as an editable workbook that Client keeps.
2. Fee and payment
The fee is $5,000, payable in full on signing. ARC will deliver within 10 business days after receiving both payment and Client's completed intake, subject to reasonable extension if Client's information is incomplete or ARC's follow-up questions go unanswered. Fees are non-refundable once work begins, except as stated in section 7.
3. Client's obligations
Client will complete the online intake accurately and completely, respond to reasonable follow-up questions within 3 business days, and provide supporting statements on request. Client acknowledges that the assessment's accuracy depends on the information provided.
4. Nature of services; no advice
ARC provides financial analysis and business strategy. ARC is not a law firm, CPA firm, registered investment adviser, lender, mortgage broker, credit repair organization, or debt settlement company, and nothing delivered is legal, tax, investment, or lending advice. ARC makes no guarantee of loan approval, rates, settlement outcomes, credit-score changes, or financial results. Client is solely responsible for decisions made using the deliverables and for engaging licensed professionals where a strategy requires one.
5. Confidentiality and data
ARC will keep Client's information confidential, use it only to perform the services, and share it only with service providers necessary to perform the work or with third parties Client authorizes in writing. ARC will not share Client's information or assessment with any franchisor. ARC's Privacy Policy applies. Credit reports are obtained only under a separate signed authorization.
6. Execution engagements
Any implementation work beyond the assessment (lender packaging, creditor negotiation support, refinance coordination, credit sprint management, and the like) will be scoped, priced, and agreed in a separate written statement of work. Nothing in this agreement obligates either party to such an engagement.
7. Cancellation and satisfaction
Client may cancel before submitting the intake for a full refund. After submission and before delivery, ARC will refund the fee less $750. If within 7 days after the proposal call Client reasonably believes the assessment did not deliver items 1(d) and 1(e), ARC will, at its election, revise the assessment or refund the fee.
8. Limitation of liability
ARC's total liability under this agreement is limited to the fee paid. Neither party is liable for indirect, consequential, special, or punitive damages. These limits apply to the fullest extent permitted by law.
9. Intellectual property
Client owns its data and may use the deliverables for its own personal and business purposes. ARC owns its models, templates, and methods and may reuse them, and may describe the engagement in anonymized, non-identifying form.
10. General
Florida law governs. Disputes will be raised in writing and discussed in good faith for 30 days, then resolved by binding individual arbitration (AAA) in Hillsborough County, Florida, except that either party may bring a qualifying claim in small-claims court. This is the entire agreement for the assessment and may be amended only in writing. Electronic signatures are binding.
